The Board of Directors of Eniro AB (publ) has decided to postpone the earlier communicated Annual General Meeting and convene to a new Annual General Meeting on May 26, 2009. Excerpts from the proposed agenda:

  • The Board of Directors proposes no dividend to the shareholders.
  • The Nomination Committee proposes that the number of Board members remains unchanged, i.e. seven members. Re-election of all Board members is proposed: Lars Berg (Chairman), Barbara Donoghue, Karin Forseke, Luca Majocchi, Mattias Miksche, Harald Strømme and Simon Waldman. No change is proposed regarding the amounts that will be paid as fees to these Board members.
  • The Board of Directors proposes a reduction of the share capital by SEK 103,773,504, without withdrawal of shares, for provision for a fund to be utilized according to resolution by the Annual General Meeting. The reduction requires that the share capital limits in the Articles of Association are amended.
  • The Board of Directors proposes that the Annual General Meeting approves the resolution by the Board of Directors on April 26, 2009, on a rights offering with preferential right for shareholders. The objective of the rights offering is to strengthen Eniro’s balance sheet and thereby secure the implementation of the strategy for long term growth. The rights offering is expected to result in proceeds amounting to approximately SEK 2,5 billion, prior to costs for the rights offering. The rights offering is contingent on that the limits for the share capital and the number of shares in the Articles of Association are changed.
  • The Board of Directors proposes that the Annual General Meeting resolves on a reverse split of shares, meaning that a certain number of shares are consolidated into one share.

Time and place

The Annual General Meeting will be held on Tuesday May 26, 2009 at 3.00 p.m. (CET) at Clarion Hotel Sign, Östra Järnvägsg. 35, Stockholm, Sweden. The doors will open at 2.00 p.m. (CET).

Shareholders who have provided notice on their intention to participate in the Annual General Meeting scheduled for May 14, 2009, are considered as registered for the rescheduled Annual General Meeting on May 26, 2009.
